Bylaws of the American Association of University Professors Chapter

at

Southwest Tennessee Community College


 ARTICLE I - Name

The name of this organization shall be the Southwest Tennessee Community College Chapter of the American Association of University Professors.

ARTICLE II - PURPOSES

     The purposes of the chapter are as follows:

  • Further the objectives of the national body of the association
  • Defend academic freedom at Southwest Tennessee Community College
  • Encourage faculty participation in governance at Southwest Tennessee Community College
  • Protect and advance the professional status and interests of all faculty
  • Strengthen cooperation between the faculty of the college and the administration in the solution of educational problems Improve student-faculty relations.
  • Protect and advance the professional status and interests of all faculty
  • Facilitate the dissemination of information on higher education principles and practices
  • Participate in state/national conference of chapters

In furtherance of the purposes described above, but not in limitation thereof, the chapter shall have the power to conduct studies; to disseminate statistics and other information; to engage in various fund raising activities; to conduct promotional activities, including advertising and publicity, in or by any suitable manner of media; to hold such property as is necessary to accomplish its purpose; and to employ individuals to represent the chapter in lawsuits, negotiations, and for other purposes.  This AAUP chapter is organized and operated for the above nonprofit purposes, and no part of any net earnings shall inure to the benefit of any member.                 

ARTICLE III - Membership

Section 1.  Any member of the national AAUP and the Tennessee conference of the AAUP is eligible to become a member of this chapter.

Section 2.  There shall be four classes of membership: Active, Emeritus, Administrative, and Public. 

Section 3.    Active members are full-time employees of Southwest Tennessee Community College who hold faculty rank and whose primary duty is to teach.  Active members have the right to participate fully in the affairs of the chapter.  They have the right to vote and to be elected or appointed to offices and committees.

Section 4.  Emeritus members are former active members of the chapter who became emeritus members as a result of retiring from Southwest Tennessee Community College. They have the same rights as active members except they do not have the right to vote on dues.

Section 5.  Administrative members are full-time employees of Southwest Tennessee Community College who are engaged primarily in administrative duties.  Administrative members may be appointed to committees but they are non-voting members of the committees and of the chapter. Administrative members may not be elected to office.

Section 6.  Public members are members who are eligible to join under Section 1 but do not meet the qualifications under Section’s 3, 4, or 5.  Public members may be appointed to committees but are non-voting members of the committees and of the chapter.  Public members may not be elected to office.

Section 7.  The right to discuss, but not to vote upon matters of a local nature, may be extended to non-members at the discretion of the president and executive committee of the chapter.

Section 8.   Chapter dues shall be levied upon members in an amount to be determined annually at any chapter meeting.

ARTICLE IV - Officers

Section 1.  The officers of the chapter shall be president, vice-president/membership chair, and secretary-treasurer. 

Section 2.  The officers shall be elected by ballot and a majority vote shall constitute an election.   Officers’ terms shall be one year, or until their successors have been elected. The election will take place at the last meeting of the academic year. Officers may serve more than one term.

Section 3.  The president, with the advice and approval of the Executive Committee of the chapter, shall appoint a committee of at least three persons to present nominations at the meeting in which the election of officers shall take place.

Section 4.  If the president resigns or for any reason is unable to complete his term in office, the vice-president/membership chair shall complete his term.

Section 5.  If the vice-president/membership chair, or secretary-treasurer, resigns or for any reason is unable to complete his term in office, the president shall, with the advice and approval of the Executive Committee, fill the vacancy by appointment.  This person shall serve out the remainder of the term.

Section 6.  If all offices of the AAUP should become vacant at the same time, the chapter will appoint an acting president who will conduct an election for new officers.  The acting president is eligible to be elected to any office.

Section 7.  Any officer can be removed from office by a two-thirds vote of the active membership.  Any person removed from office is still a member of the chapter.

ARTICLE V - The Duties of Officers

The officers of the Southwest Tennessee Community College chapter of the AAUP are expected to carry out the normal parliamentary duties as prescribed by the parliamentary authority adopted by the chapter.  The major duties are described in the following sections.

Section 1.  The president shall (a) preside over the meetings of the chapter and encourage free and open discussion of all matters brought before the chapter; and (b) be an ex-officio member of all the committees of the chapter except the nomination committee.

Section 2.  The vice-president/membership chair shall (a) in the absence or during the incapacity of the president perform the duties of the president and so acting shall have all the president's rights and privileges; (b) act as chairman of the committee on membership; (c) perform such other duties as may be assigned to him by the chapter or its Executive Committee.

Section 3.  The secretary-treasurer shall (a) keep a record of all the proceedings of the chapter and of its Executive Committee; (b) assist the vice-president in keeping the membership list up to date; (c) issue notices of the meetings of the chapter and of its Executive Committee; (d) be responsible for the records, reports, correspondence, and other properties of the chapter; (e) in the case of obsolete records, deposit them in the hands of a suitable agency of the institution; (f) collect any local dues assessed upon the members by the chapter; (g) disburse its funds on order of the chapter or of the president; and (h) render a financial report to the chapter at the last meeting of the academic year or on the call of the chapter.

ARTICLE VI - The Executive Committee

Section 1.  The Executive Committee of the chapter shall consist of the elected officers.  The chapter may elect additional members to serve on the Executive Committee.

Section 2.  The Executive Committee shall (a) act upon communications and instructions received from the national association; (b) serve as the administrative board of the chapter; (c) carry into effect the attitude and policies of the chapter as ascertained from or instructed by the membership at meetings of the chapter; (d) receive and consider proposals and suggestions offered to it by an individual member or members; and (e) secure the consent of the chapter in a regular or special meeting before making a major commitment concerning the chapter.

ARTICLE VII - Other Committees

Section 1.  The committees of the chapter shall be of two kinds:  (a) standing; and (b) special.

Section 2.  A standing committee shall be one that is charged with duties of a more or less permanent nature, or that will require attention over a period of more than one academic year.

Section 3.  A special committee shall be one charged with duties not answering the description of those assigned to a standing committee.

Section 4.  The appointment of committee members shall be by the president, with the approval of the Executive Committee.

Section 5.  The chair of each committee shall file a report at the end of the academic year, signed by all the members of the committee, with the secretary of the chapter within two weeks after the approval of the report by the chapter.

ARTICLE VIII - Meetings

Section 1.  The members of the chapter shall meet at least twice each semester, at a time and place designated by the president and at such other times as it may be considered advisable by the membership of the chapter.

Section 2.  A quorum shall consist of the number present after due notice of a meeting has been sent to all members.

Section 3.  A majority vote shall be sufficient for the transaction of the business of the chapter.

Section 4.  A special meeting of the entire membership of the chapter must be called by the Executive Committee at the signed request of one-third of the total membership or of the president.  No business except that for which the meeting was requested shall be considered.  Special meetings shall be subject to the provisions governing regular meetings of the chapter.

ARTICLE IX- Parliamentary Authority

 The current edition of Robert’s Rules of Order shall govern the chapter in all cases not addressed by these bylaws.

ARTICLE X – Resolutions

Resolutions are chapter statements of positions on issues.  The statements are intended for distribution outside the chapter.  Since they may influence public opinion concerning the STCC chapter of the AAUP,  the resolutions should be carefully constructed and should be consistent with policies of the AAUP.  Members wishing to have resolutions considered should submit the resolutions to the president at least four days prior to the meeting at which the chapter would vote on the resolution.  A majority vote of the chapter is needed for acceptance of resolutions.

 ARTICLE XI - Amendments

These bylaws may be amended at a regular or special meeting of the chapter, provided that a notice setting forth the proposed amendment or amendments shall have been sent to each member at least four (4) days prior to the meeting.  Proposed amendments must be in writing when presented for a vote.  A two-thirds affirmative vote of a quorum of the chapter is needed to approve amendments.
